This Policy is between VHQ Texas LLC ("VHQ," "we," "us," or "our"), which operates the DTF Wholesale website and portal, and each business that uploads or sends artwork to us or places an order (the "Customer" or "you"). It is part of our Terms of Use (the "Terms"). If this Policy and the Terms conflict on artwork, this Policy controls. Sections 21, 26, and 27 of the Terms (liability, disputes and governing law, general terms) apply to this Policy.

1Definitions

1.1 "Artwork" means any image, graphic, logo, photo, text, file, gang sheet, or other material you send us, including versions changed at your request, during designer review, or by our automated print preparation.

1.2 "Third-Party Rights" means copyrights, trademarks, trade dress, rights of publicity and privacy, and other intellectual property or proprietary rights held by anyone other than you.

2Your Promises About Artwork

2.1 For all Artwork you send, you promise that:

(a) you own it, or you have a valid written license or permission from every rights holder that covers our reproduction of it and your use, sale, and distribution of goods bearing it;

(b) the Artwork, and the sale and distribution of products bearing it, does not infringe or violate any Third-Party Rights and is not a counterfeit mark;

(c) you have written consent from every identifiable person shown or named in it, and from a parent or guardian for anyone under 18;

(d) if any Artwork was made with AI tools, you have the rights needed to use it, and it does not copy a protected work, character, mark, or likeness without permission; and

(e) the Artwork is not defamatory, obscene, or otherwise unlawful.

2.2 When we ask, you will promptly give us written proof of your rights, such as licenses, authorization letters, or releases.

2.3 You are solely responsible for your Artwork and for all goods you make, sell, or distribute with it. Because you are a business that resells or decorates goods, you are responsible for licensing for your entire production run, not just our order.

3Restricted Artwork

3.1 Do not submit Artwork that infringes Third-Party Rights or bears counterfeit marks. Submitting it is a breach of this Policy.

3.2 You must have written authorization before submitting Artwork that includes any of the following, and we may ask for that proof at any time, before or after printing:

(a) names or logos of professional, collegiate, or amateur teams, leagues, or associations;

(b) characters, titles, or artwork from films, TV, video games, animation, comics, or other entertainment properties;

(c) brand trademarks, logos, or trade dress, including designer and luxury brands;

(d) the name, image, or likeness of a celebrity, athlete, or other identifiable person; or

(e) artwork copied from another artist, designer, or seller.

These are examples. Section 2.1 applies to all Artwork.

3.3 Do not submit Artwork that is hateful, harassing, sexually explicit, violent or promotes violence, promotes illegal activity, or is otherwise unlawful. We may refuse any Artwork that we decide, in our discretion, falls in these categories or is otherwise offensive.

4How Orders Are Processed, Refusal, and Cancellation

4.1 Orders move through a fast production process that combines automated steps and review by our team. Where we identify Artwork that appears to infringe Third-Party Rights, we may ask for proof of rights, hold the order, or decline it. Because we print a high volume of custom files, we cannot catch every issue, and you remain solely responsible for having the rights to everything you submit.

4.2 We may review any Artwork at any time, before or after an order is placed, but we have no duty to.

4.3 We may decline, hold, or cancel any order or part of an order, at our discretion and without giving a reason, whether or not anyone has complained. Refunds for canceled orders follow Section 13.1 of the Terms.

4.4 We may require proof of rights under Section 2.2 before accepting or continuing any order, including recurring and high-volume orders.

4.5 Any review we do is for our own purposes. Accepting, printing, or shipping an order is not a statement that the Artwork is non-infringing or that you have rights in it, and it does not reduce your obligations under this Policy.

5We Print From Your File

5.1 We print from the Artwork you submit. Our automated print preparation may resize, upscale, or make other technical adjustments for printing, but it does not fix design problems. Print quality depends on your file, including:

  • resolution (we recommend 300 DPI at final print size);
  • transparency, including unwanted backgrounds, semi-transparent pixels, soft edges, and glows;
  • color mode and colors outside the printable range;
  • spelling, layout, and design choices; and
  • the print dimensions you select.

5.2 If you want your files printed exactly as uploaded, with no automatic upscaling or adjustment, tell us at team@dtfwholesale.com and we will set your account that way.

5.3 Screen colors and mockups may differ from printed results.

5.4 Issues caused by your file as you submitted it are not defects and are not covered by refunds or reprints under Section 17 of the Terms.

6Optional Designer Review and Cleanup

6.1 We may offer optional designer review, resizing, background removal, upscaling, or cleanup. This is a courtesy and is done at your direction.

6.2 Review and cleanup do not move responsibility for the Artwork to us. They do not change your promises in Section 2 and are not a check of legal rights. If a change we made to your file, by a designer or by our automated print preparation, causes a defect that was not in your original file, we treat it as our printing error under Section 17.3 of the Terms.

6.3 If we suggest changes and you do not respond, we may hold the order or, where you have told us to, print the original file. Holds can delay the ship date.

7License to Us

7.1 You keep all rights in your Artwork.

7.2 You give us a non-exclusive, royalty-free, worldwide license to store, copy, reproduce, and modify (only as you request or as reasonably needed for print preparation) your Artwork, and to share it with service providers that host files, support production, or run our automated print preparation, only to fulfill your orders, handle reorders, provide support, keep business records, and comply with law.

7.3 We do not sell your Artwork or use it in advertising, social media, or samples without your written consent.

8File Retention and Deletion

8.1 We keep Artwork, saved designs, and print files for as long as reasonably needed to fulfill your orders, handle reorders and reprints, provide support, keep business records, and comply with law. We may delete print-ready production files after an order ships.

8.2 We may keep Artwork and order records longer when reasonably needed for an infringement claim, chargeback, legal proceeding, or legal obligation.

8.3 You may ask us to delete your Artwork by emailing team@dtfwholesale.com with the order numbers or design names. We delete it after we confirm the request, except copies we must keep under Section 8.2. Backup copies age out on the normal backup cycle.

8.4 Keep your own copies. We are not a file storage service and are not responsible for lost or deleted files.

9Infringing Accounts

We may suspend or close the account of, and refuse orders from, any Customer after a valid infringement notice or complaint about their Artwork, or who fails to provide proof of rights when asked. One notice is enough; we do not need multiple strikes. See the Copyright and DMCA Policy.

10Indemnity

You will defend, indemnify, and hold harmless VHQ Texas LLC and its members, managers, employees, contractors, and agents from all claims, demands, losses, damages, judgments, settlements, penalties, costs, and expenses, including reasonable attorneys' fees, arising from (a) your Artwork, (b) the use, sale, or distribution of any product bearing your Artwork, (c) a breach of your promises or obligations under this Policy, or (d) any claim that your Artwork infringes Third-Party Rights. This applies even where we modified or prepared the file for printing, unless the claim arises only from content we added. We may take part in the defense with counsel of our choice at your expense. You may not settle a claim that imposes obligations on us or admits fault for us without our written consent. Section 20.2 of the Terms (notice of claims) also applies.

11Liability

The limitation of liability in Section 21 of the Terms applies to this Policy, including any acceptance, printing, refusal, hold, or cancellation of an order.

12Changes

We may update this Policy by posting a new version with a new version number and effective date. Changes apply to Artwork submitted and orders placed on or after the effective date.
